Please read these Terms of Service (“Terms”) carefully before using Wagwizi. These Terms govern your access to and use of our website, application, APIs, and related services (collectively, the “Service”) operated by a company incorporated in Zimbabwe (“Wagwizi”, “we”, “us”, or “our”).

By creating an account, purchasing a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

1. The Service

Wagwizi is a social media management platform that helps individuals and teams compose, schedule, publish, and manage content across connected social and publishing channels. Depending on your plan, the Service may include features such as:

We may add, modify, suspend, or remove features at any time. The Service relies on third-party platforms, networks, and infrastructure that we do not control. We do not guarantee uninterrupted, secure, or error-free operation.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction to use online services, to use the Service. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Accounts

When you create an account, you must provide accurate, complete, and current information and keep it up to date. Failure to do so may result in suspension or termination of your account.

You may sign in using email and password or supported third-party login providers such as Google or LinkedIn, where available. You agree not to use a username or profile information that impersonates another person, infringes rights, or is offensive or unlawful.

4. Subscriptions and billing

Some parts of the Service are offered on a free tier. Paid features are billed on a subscription or one-time basis according to the plan you select (“Subscription”).

You may cancel renewal through your account settings or by contacting support before the next billing date. Cancellation stops future charges but, unless otherwise stated, does not entitle you to a refund for the current billing period.

5. Free trials

We may offer free trials or promotional access to paid features for a limited time. Trial availability, length, and eligibility are determined by the plan shown at signup or checkout.

If a trial requires payment information, you may not be charged until the trial ends unless stated otherwise at checkout. When the trial expires, your Subscription may convert automatically to a paid plan at the then-current price unless you cancel before the trial ends.

We may modify, suspend, or discontinue trial offers at any time. One trial per user or organization may apply where stated or where we detect duplicate or abusive use.

6. Fee changes

We may change Subscription fees from time to time. Price changes generally take effect at the start of the next billing cycle after notice. Where required by law, we will give you reasonable advance notice and an opportunity to cancel before the new price applies. Continued use of a paid plan after a fee change becomes effective constitutes acceptance of the updated fees where permitted by law.

7. Refunds

Except where required by applicable law, fees are non-refundable once a billing period has begun. If you believe you were charged in error, contact us through the support options in the Service within a reasonable time and include the email address associated with your account and relevant transaction details. We review refund requests in good faith and may issue refunds or credits at our discretion for billing mistakes, duplicate charges, or other exceptional circumstances.

8. Content

The Service allows you to create, upload, store, schedule, share, and publish content, including text, images, video, and other materials (“Content”). You retain ownership of Content you submit, subject to the license below.

By submitting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify where necessary for formatting or processing, display, distribute, and transmit Content solely to operate, provide, improve, and secure the Service and to perform actions you direct, including publishing Content to connected third-party platforms.

We may remove or restrict Content that we reasonably believe violates these Terms, applicable law, or third-party rights, or that poses a security or abuse risk.

9. Connected platforms and third-party services

The Service integrates with third-party social networks, publishing tools, payment providers, analytics services, and AI providers. Your use of those services is subject to their own terms and privacy policies.

You authorize us to access and use connected accounts as needed to provide features you request, such as listing destinations, publishing posts, retrieving metrics, or refreshing access tokens. We are not responsible for changes, outages, policy enforcement, or account restrictions imposed by third-party platforms.

You are solely responsible for ensuring that your publishing activity complies with each platform’s rules, including advertising disclosures, copyright requirements, community standards, and API usage limits.

10. AI features

The Service may offer AI-assisted tools, including platform-managed AI and bring-your-own-key options where you supply third-party AI credentials. AI output may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing, editing, and approving any content before publishing.

Do not submit confidential, sensitive, or unlawful information to AI features unless you accept the risk of processing by the relevant provider. AI features may be subject to usage limits based on your plan.

11. Workspaces and team use

Workspaces allow multiple users to collaborate under shared settings. Workspace owners and admins may invite members, manage roles, and configure workspace-level preferences. You are responsible for how your workspace is used and for ensuring invited members comply with these Terms.

If you delete your account while you are the owner of a workspace with other active members, you must first transfer ownership or remove those members. We may restrict deletion until the workspace no longer affects other users’ access.

12. API, webhooks, and developer use

If your plan includes API or webhook access, you may use those features only as documented and within applicable rate limits and security requirements. You must keep credentials confidential, implement appropriate safeguards, and not use the API to scrape, overload, reverse engineer, or circumvent Service limits.

We may monitor API usage, revoke credentials, or suspend access that appears abusive, insecure, or harmful to the Service or other users.

13. Acceptable use

You agree not to misuse the Service. Without limitation, you must not:

14. Copyright and infringement

We respect intellectual property rights and expect users to do the same. If you believe content on the Service infringes your copyright or other rights, contact us through the support options in the Service with sufficient detail to identify the material and your claim. We may remove or disable access to allegedly infringing content and terminate repeat infringers where appropriate.

15. Our intellectual property

The Service, including its software, design, branding, documentation, and underlying technology, is owned by Wagwizi or its licensors and is protected by copyright, trademark, and other laws. Except for the limited rights expressly granted in these Terms, no license or ownership rights are transferred to you.

You may not copy, modify, distribute, sell, lease, or create derivative works from the Service except as allowed by law or with our prior written consent.

16. Links to other websites

The Service may contain links to third-party websites or services that we do not own or control. We assume no responsibility for their content, policies, or practices. Accessing third-party services is at your own risk.

17. Termination and data deletion

You may stop using the Service at any time. You may permanently delete your account and personal data we store for you from Profile → Your data → Delete my account and data, subject to the limits described in our Privacy Policy.

Deletion is irreversible. We may suspend or terminate your account immediately, with or without notice, if you breach these Terms, create risk or legal exposure for us, fail to pay fees when due, or if we discontinue the Service or your plan.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, limitations of liability, and governing law. We may retain certain records where required by law or for legitimate business purposes such as billing reconciliation, fraud prevention, or dispute resolution.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT PUBLISHING TO THIRD-PARTY PLATFORMS WILL ALWAYS SUCCEED OR REMAIN AVAILABLE.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Wagwizi AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS (USD), UNLESS MANDATORY LAW REQUIRES OTHERWISE.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Wagwizi and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your Content, your use of the Service, your connected platforms, your violation of these Terms, or your violation of any law or third-party rights.

21. Governing law and disputes

These Terms are governed by the laws of Zimbabwe, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country require otherwise.

Before filing a formal claim, you agree to contact us through the support options in the Service and attempt to resolve the dispute informally in good faith. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Zimbabwe, unless applicable law requires otherwise.

22. Changes to these Terms

We may modify these Terms at any time. If we make material changes, we will post the updated Terms on this page, update the “Last updated” date, and where appropriate provide additional notice such as by email or an in-product message. Continued use of the Service after the effective date of updated Terms constitutes acceptance where permitted by law. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
